1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MarketsHost, a private limited company incorporated under the laws of India, with its registered office in Chennai, Tamil Nadu, India ("MarketsHost," "we," "us," or "our"). By accessing or using the BioPharma Intelligence Hub ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Disclaimer.

If you do not agree to these Terms, you must immediately cease using the Platform.

2. Description of Service

The BioPharma Intelligence Hub is a data aggregation and analytics platform that:

• Aggregates publicly available data from U.S. government sources including the FDA, SEC EDGAR, ClinicalTrials.gov, and DailyMed
• Provides analytical pipeline grades (A+ to D) based on a transparent, rules-based methodology
• Tracks FDA regulatory events, clinical trial milestones, and drug development catalysts
• Generates AI-assisted (Google Gemini) summaries of company pipelines and regulatory data
• Covers exclusively US biotech and pharmaceutical companies regulated by the U.S. FDA

The Platform is a data aggregation and informational service. It is NOT an investment advisory service, broker-dealer, research analyst service, financial planning service, or any form of licensed financial intermediary.

3. No Fiduciary Relationship

Your use of this Platform does not create any fiduciary, advisory, agency, brokerage, professional, or other special relationship between you and MarketsHost. We do not owe you any duty of care with respect to your use of information on this Platform or any investment decisions you may make.

MarketsHost does not act as your financial advisor, investment consultant, or in any advisory capacity. We do not know your specific financial situation, investment objectives, risk tolerance, or individual circumstances. You are solely responsible for evaluating the information provided on this Platform and for any investment decisions you make.

4. Data Accuracy and Limitations

While MarketsHost strives to provide accurate and up-to-date information, we make no representations or warranties regarding the accuracy, completeness, reliability, suitability, or timeliness of any information on this Platform. Specifically:

• Data is sourced from third-party government databases and may be subject to transmission errors, delays, or processing discrepancies
• Pipeline grades are computed algorithmically and may not reflect all relevant factors
• AI-generated content (clearly labeled) may contain factual errors, hallucinations, or outdated information
• FDA regulatory timelines, PDUFA dates, and clinical trial data are subject to change without notice by the issuing authorities
• Information may not be updated in real-time and could be outdated at the time of access

Users should independently verify all information against primary sources before relying on it for any purpose.

5. Intellectual Property

All content on this Platform, including but not limited to text, graphics, user interface design, pipeline grade methodology, software code, and compilation of data, is the property of MarketsHost or its licensors and is protected by applicable intellectual property laws.

• Our Content: The pipeline grading methodology, platform design, analytical frameworks, and original editorial content are proprietary to MarketsHost.
• Government Data: Data sourced from U.S. government agencies (FDA, SEC, ClinicalTrials.gov, DailyMed) is in the public domain. Our aggregation, presentation, and analysis of such data constitutes original compilation.
• Trademarks: "MarketsHost" and "BioPharma Intelligence Hub" are trademarks of MarketsHost. All other trademarks, company names, and logos referenced on the Platform belong to their respective owners.

You may not copy, reproduce, distribute, republish, download, display, post, or transmit any content from this Platform in any form without prior written consent from MarketsHost, except for personal, non-commercial use with proper attribution.

6. User Responsibilities

By using this Platform, you agree to:

• Use the Platform only for lawful purposes and in accordance with these Terms
• Not attempt to access, scrape, mine, or extract data from the Platform through automated means (bots, crawlers, scrapers) without prior written permission
• Not use the Platform to generate, disseminate, or facilitate securities fraud, market manipulation, or insider trading
• Not redistribute, resell, or commercially exploit the content of this Platform without authorization
• Not attempt to interfere with, disrupt, or compromise the security or functionality of the Platform
• Not misrepresent your identity or affiliation when using the Platform
• Comply with all applicable laws and regulations in your jurisdiction, including but not limited to securities laws, when acting on any information obtained from this Platform

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Platform and all content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• MarketsHost shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Platform.
• In no event shall the total aggregate liability of MarketsHost exceed the amount you have paid to MarketsHost, if any, for access to the Platform during the twelve (12) months preceding the claim.
• MarketsHost is not liable for any investment losses, trading losses, or financial damages of any kind resulting from reliance on information provided on this Platform.

8. Indemnification

You agree to indemnify, defend, and hold harmless MarketsHost, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.

9. Third-Party Links and Services

This Platform may contain links to third-party websites, services, or resources. These links are provided for convenience only. MarketsHost does not endorse, control, or assume responsibility for the content, accuracy, or practices of any third-party site. Your interactions with third-party services are solely between you and the relevant third party.

10. Service Availability

MarketsHost does not guarantee uninterrupted or error-free access to the Platform. We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice, for any reason. MarketsHost shall not be liable for any modification, suspension, or discontinuation of the Platform.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

12. Modification of Terms

MarketsHost reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Changes will be effective immediately upon posting the revised Terms on this page with an updated "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

We encourage users to review these Terms periodically. If you do not agree with any modifications, you must discontinue use of the Platform.

13. Termination

MarketsHost may, at its sole discretion and without prior notice, terminate or suspend your access to the Platform for any reason, including but not limited to:

• Violation of these Terms
• Conduct that MarketsHost reasonably believes is harmful to the Platform, other users, or third parties
• Request by law enforcement or other government agencies
• Discontinuation or material modification of the Platform

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, Governing Law, and Intellectual Property) shall survive.
